Common questions

What buyers and sellers ask first

Do you represent buyers, sellers, or both?

+

Both, just never on the same deal. Having worked from each side over time means we can usually tell what the other party actually needs, and where there's real room to negotiate.

What's the difference between an LOI and a purchase agreement?

+

An LOI outlines the deal structure and price. It's generally non-binding on the business terms, though sections like confidentiality and exclusivity often are. The purchase agreement is the actual, enforceable contract, with reps, warranties, and closing conditions.

What does a business acquisition attorney actually do?

+

Runs point on the deal from the first term sheet through closing: diligence, negotiating the purchase agreement, coordinating financing, and structuring the transaction itself.

How does billing work for a transaction?

+

It depends on the deal. Some matters are billed hourly, others as a flat fee, and larger transactions sometimes include a performance fee tied to closing. Whatever the structure, we agree on it upfront.

Do you work with clients outside Miami?

+

Yes. We're licensed in Florida and represent clients statewide, and it's common for a deal to involve parties, property, or counsel in other states entirely.
